Welcome to Morwingo ("Morwingo", "we", "our", or "us").

Morwingo is an online platform designed to connect brands, businesses, agencies, creators, influencers, freelancers, and other users for networking, collaborations, partnerships, marketing opportunities, business growth, and related services.

These Terms & Conditions ("Terms") govern your access to and use of the Morwingo Platform, including our website, applications, features, content, messaging services, verification services, and any future products or services provided by Morwingo.

By accessing, browsing, registering, creating an account, or using Morwingo in any manner, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

If you do not agree with these Terms, you must discontinue use of the Platform immediately.

1. Eligibility

To use Morwingo, you represent and warrant that:

  • You are legally capable of entering into a binding agreement under applicable law.
  • All information you provide is true, accurate, complete, and current.
  • You will keep your information updated.
  • You are authorized to act on behalf of any business or organization you represent.
  • Your use of the Platform complies with all applicable laws and regulations.

Morwingo reserves the right to request additional information to verify eligibility at any time.

2. User Accounts

Users are responsible for maintaining the confidentiality of their account credentials.

You agree to:

  • Keep your password secure.
  • Prevent unauthorized access to your account.
  • Notify Morwingo immediately if you suspect unauthorized access.
  • Accept responsibility for activities occurring under your account unless prohibited by applicable law.

Morwingo is not responsible for losses resulting from your failure to adequately protect your account credentials.

3. Verification

Morwingo may offer account verification for eligible users.

Verification:

  • Is entirely discretionary.
  • May require additional information or documentation.
  • May be granted, denied, suspended, or revoked at any time.
  • Does not represent endorsement, recommendation, certification, partnership, legal approval, business legitimacy, commercial reliability, financial stability, authenticity of products or services, or future trustworthiness.

A verified badge simply indicates that the account has completed Morwingo's verification process based on information available at the time of review.

Morwingo reserves the right to modify or discontinue verification services at any time.

4. Nature of the Platform

Morwingo acts solely as a technology platform that facilitates connections between users.

Morwingo does not:

  • Employ creators.
  • Employ brands.
  • Represent users.
  • Act as an agent.
  • Negotiate contracts on behalf of users.
  • Guarantee collaborations.
  • Guarantee campaign performance.
  • Guarantee payments.
  • Guarantee earnings.
  • Guarantee business success.

Any agreement, collaboration, campaign, payment, negotiation, communication, product, service, or business relationship established between users exists solely between those users.

Morwingo is not a party to such arrangements unless expressly stated in writing.

5. User Responsibilities

Users remain solely responsible for:

  • Information submitted.
  • Content published.
  • Messages sent.
  • Business decisions.
  • Campaign negotiations.
  • Deliverables.
  • Payments.
  • Taxes.
  • Legal compliance.
  • Intellectual property rights.
  • Regulatory obligations.
  • Consumer obligations where applicable.

Users agree not to rely solely upon information available on Morwingo when making commercial decisions.

Independent verification is always recommended.

6. Acceptable Use

Users agree not to:

  • Create fake accounts.
  • Impersonate another person or business.
  • Misrepresent identity.
  • Purchase fake followers or engagement.
  • Engage in fraud.
  • Conduct scams.
  • Spread malware.
  • Harvest user information.
  • Upload unlawful content.
  • Violate intellectual property rights.
  • Circumvent Platform security.
  • Interfere with Platform operations.
  • Use automated bots without authorization.
  • Send spam.
  • Abuse messaging features.
  • Attempt unauthorized access.
  • Manipulate verification systems.
  • Misuse Platform analytics.
  • Encourage illegal activities.

Morwingo reserves the right to determine, in its reasonable discretion, whether conduct violates these Terms.

7. Content Ownership

Users retain ownership of content they create and upload.

However, by publishing content on Morwingo, users grant Morwingo a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, display, distribute, adapt, process, archive, cache, promote, and otherwise use such content solely for operating, improving, securing, marketing, and promoting the Platform and its services, subject to applicable law.

This license continues for publicly available content until such content is removed from public availability, except where retention is reasonably necessary for backups, legal compliance, dispute resolution, fraud prevention, enforcement of these Terms, or protection of legitimate business interests.

Nothing in these Terms transfers ownership of user-created content to Morwingo.

8. User Representations

By using Morwingo, you represent and warrant that:

  • You own or have all necessary rights to the information and content you submit.
  • Your content does not infringe the rights of any third party.
  • Your activities comply with applicable law.
  • Your information is not false, misleading, deceptive, or fraudulent.
  • You will not use Morwingo for unlawful purposes.

You agree that any violation of these representations may result in suspension, restriction, or permanent termination of your account without prior notice where permitted by applicable law.

9. Platform Availability

Morwingo continually improves its Platform.

Accordingly, we reserve the right to:

  • Add new features.
  • Modify existing features.
  • Remove features.
  • Suspend services.
  • Perform maintenance.
  • Introduce paid services.
  • Change eligibility requirements.
  • Update technical requirements.
  • Improve security systems.

Morwingo does not guarantee uninterrupted availability of the Platform.

Temporary interruptions may occur due to maintenance, technical issues, security incidents, third-party failures, internet disruptions, or circumstances beyond our reasonable control.

10. Reservation of Rights

Morwingo reserves all rights not expressly granted under these Terms.

Nothing contained within these Terms shall limit Morwingo's ability to investigate suspicious activities, enforce Platform rules, comply with legal obligations, protect users, protect business interests, or take actions reasonably necessary to maintain the integrity, security, reliability, and reputation of the Platform.

11. Suspension, Restriction and Termination

Morwingo reserves the right, at its sole discretion and where permitted under applicable law, to suspend, restrict, disable, remove, or permanently terminate any account, content, feature, communication, campaign, or access to the Platform, with or without prior notice, where we reasonably believe that:

  • These Terms have been violated.
  • Fraudulent or suspicious activity has occurred.
  • False or misleading information has been provided.
  • The Platform or its users may be exposed to security, legal, or reputational risks.
  • Applicable laws, regulations, or lawful requests require such action.
  • Continued access may adversely affect the integrity, security, or operation of the Platform.

Termination of an account shall not affect any rights or obligations that arose prior to such termination.

12. Brand–Creator Relationships

Morwingo acts solely as an intermediary technology platform.

All collaborations, negotiations, agreements, communications, campaign terms, payments, timelines, deliverables, revisions, product shipments, taxes, invoices, refunds, warranties, and other commercial arrangements are solely between the respective users.

Morwingo:

  • Is not an employer.
  • Is not an agency.
  • Is not a talent manager.
  • Is not a contracting party.
  • Is not responsible for enforcing private agreements.
  • Does not guarantee the conduct, identity, quality, legality, reliability, capability, or performance of any user.

Users are solely responsible for conducting appropriate due diligence before entering into any collaboration.

13. Payments and Commercial Transactions

Unless expressly stated otherwise by Morwingo in writing, Morwingo does not process, guarantee, secure, insure, recover, or enforce payments made between users.

Users are solely responsible for:

  • Negotiating commercial terms.
  • Agreeing payment schedules.
  • Paying applicable taxes.
  • Issuing invoices where required.
  • Maintaining financial records.
  • Complying with applicable financial and tax laws.

Any financial dispute shall remain solely between the relevant users.

14. User Disputes

Users acknowledge that disagreements may arise between brands, creators, businesses, agencies, or other users.

Except where expressly required by applicable law, Morwingo has no obligation to mediate, resolve, investigate, arbitrate, or participate in disputes between users.

Morwingo may, at its sole discretion, review reported matters and take Platform-related actions where necessary to protect the Platform or enforce these Terms, but such review shall not create any legal duty or obligation to resolve private disputes.

15. No Professional Advice

Information made available through Morwingo is provided for general informational purposes only.

Nothing on the Platform constitutes legal, financial, tax, accounting, investment, employment, marketing, or other professional advice.

Users should seek independent professional advice before making business or commercial decisions.

16. No Warranty

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis to the fullest extent permitted by applicable law.

Morwingo makes no representation or warranty regarding:

  • Continuous availability.
  • Accuracy of user-generated content.
  • Success of collaborations.
  • Quality of products or services.
  • Business outcomes.
  • Earnings.
  • Compatibility with every device.
  • Error-free operation.
  • Freedom from interruptions.
  • Freedom from viruses or malicious code.

To the maximum extent permitted by law, all implied warranties are expressly disclaimed.

17. Limitation of Liability

To the fullest extent permitted under applicable law, Morwingo, its owners, directors, officers, employees, affiliates, contractors, partners, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic damages arising from or relating to:

  • Use or inability to use the Platform.
  • Loss of profits.
  • Loss of revenue.
  • Loss of business opportunities.
  • Reputation damage.
  • Data loss.
  • Collaboration failures.
  • User misconduct.
  • Third-party actions.
  • Unauthorized account access.
  • Technical failures.
  • Delays or interruptions.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Morwingo, its owners, affiliates, directors, employees, contractors, representatives, successors, and partners from and against any claims, actions, losses, damages, liabilities, penalties, costs, expenses, or legal fees arising out of or relating to:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your infringement of intellectual property rights.
  • Your content.
  • Your business activities.
  • Your collaborations.
  • Your negligence, fraud, or misconduct.

This obligation survives termination of your account.

19. Intellectual Property

Except for content owned by users, all intellectual property rights relating to the Morwingo Platform, including but not limited to:

  • Logos
  • Trademarks
  • Brand names
  • Software
  • Source code
  • Databases
  • Designs
  • Graphics
  • Text
  • User interface
  • Platform functionality
  • Features
  • Documentation

remain the exclusive property of Morwingo or its licensors.

No rights are granted except as expressly stated in these Terms.

20. Copyright Complaints

If you believe that your copyright or other intellectual property rights have been infringed through content available on Morwingo, you may submit a written complaint to:

The complaint should include sufficient information to identify:

  • The copyrighted work.
  • The allegedly infringing content.
  • Proof of ownership or authorization.
  • Contact details.
  • A statement made in good faith.

Morwingo may investigate such complaints and take appropriate action where considered reasonably necessary.

21. Reporting Abuse

Users may report:

  • Fake accounts.
  • Fraud.
  • Spam.
  • Impersonation.
  • Harassment.
  • Copyright violations.
  • Illegal content.
  • Security concerns.
  • Policy violations.

Morwingo may review reports at its discretion and determine the appropriate action, if any. Submission of a report does not guarantee removal of content or suspension of any account.

22. Messaging and Communications

Users are solely responsible for communications exchanged through the Platform.

Users shall not use messaging features to:

  • Harass others.
  • Threaten others.
  • Send unlawful material.
  • Conduct scams.
  • Distribute malware.
  • Promote illegal activities.
  • Send unsolicited spam.

Morwingo may, where permitted by law and reasonably necessary for safety, security, fraud prevention, policy enforcement, or legal compliance, review, preserve, or investigate communications transmitted through the Platform.

23. Confidential Information

Users are responsible for protecting their own confidential, proprietary, or commercially sensitive information.

Morwingo is not responsible for losses arising from information voluntarily disclosed by users during negotiations, collaborations, or communications with other users.

Users should enter into separate confidentiality agreements wherever appropriate.

24. Third-Party Services

The Platform may integrate with third-party services, websites, payment providers, authentication providers, cloud providers, analytics services, communication services, and social media platforms.

Morwingo does not control and is not responsible for the availability, security, privacy practices, content, products, or services of such third parties.

Your use of third-party services is subject to their respective terms and policies.

25. Force Majeure

Morwingo shall not be liable for any delay, interruption, failure, or inability to perform obligations arising from events beyond its reasonable control, including but not limited to natural disasters, acts of government, cyberattacks, internet failures, power outages, labor disputes, pandemics, war, civil unrest, or failures of third-party infrastructure.

26. Platform Moderation

To maintain a safe, reliable, and professional environment, Morwingo reserves the right, but not the obligation, to monitor, review, restrict, remove, edit, or disable any account, profile, content, message, campaign, review, comment, media, or activity that, in our reasonable opinion:

  • Violates these Terms.
  • Violates applicable law.
  • Infringes the rights of others.
  • Poses security, legal, operational, or reputational risks.
  • Is fraudulent, misleading, abusive, or harmful.
  • Interferes with the proper functioning of the Platform.

Platform moderation decisions are made at Morwingo's reasonable discretion and may be taken without prior notice where necessary to protect users, the Platform, or comply with legal obligations.

27. Artificial Intelligence and Automated Review

Morwingo may use automated systems, artificial intelligence, machine learning technologies, fraud detection systems, and manual review processes to:

  • Improve platform functionality.
  • Detect suspicious activities.
  • Identify spam and abuse.
  • Enhance recommendations.
  • Process verification requests.
  • Improve security.
  • Support moderation decisions.

Automated systems may assist decision-making; however, Morwingo reserves the right to conduct additional manual review where considered appropriate.

28. User Feedback and Suggestions

If you submit ideas, suggestions, feature requests, recommendations, bug reports, feedback, or other communications relating to Morwingo, you acknowledge that:

  • Such submissions are voluntary.
  • Morwingo may use, modify, reproduce, develop, publish, implement, commercialize, or otherwise utilize such feedback without restriction.
  • No compensation, royalty, acknowledgment, or ownership interest shall become payable solely because Morwingo uses your suggestions.

This provision does not transfer ownership of intellectual property that is independently protected by applicable law.

29. Future Services

Morwingo may introduce, modify, discontinue, or replace services, including premium features, subscription plans, verification programs, advertising tools, payment solutions, analytics, APIs, mobile applications, artificial intelligence features, integrations, or other products.

Unless otherwise stated, these Terms shall apply to future services provided through the Platform.

30. Electronic Consent

By creating an account, clicking acceptance buttons, checking consent boxes, using the Platform, or otherwise interacting with Morwingo electronically, you consent to receive legally required notices, disclosures, communications, and agreements in electronic form, where permitted by applicable law.

Electronic acceptance shall have the same legal effect as a handwritten signature to the extent permitted by law.

31. Assignment

Users may not assign, transfer, sublicense, or otherwise transfer their rights or obligations under these Terms without Morwingo's prior written consent.

Morwingo may assign, transfer, delegate, or otherwise transfer its rights or obligations in connection with a merger, acquisition, restructuring, investment, sale of assets, or other corporate transaction, subject to applicable law.

32. No Waiver

Failure or delay by Morwingo in exercising any right, remedy, or provision under these Terms shall not constitute a waiver of that right or prevent its future enforcement.

Any waiver shall be effective only if expressly made in writing by an authorized representative of Morwingo.

33. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.

34. Survival

The following provisions shall survive the suspension, termination, or deletion of an account where applicable:

  • Intellectual Property
  • Content License
  • Limitation of Liability
  • Indemnification
  • User Responsibilities
  • Dispute Resolution
  • Governing Law
  • Confidentiality obligations
  • Payment obligations (where applicable)
  • Any other provisions that by their nature are intended to survive termination.

35. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of India, without regard to conflict of law principles.

36. Jurisdiction

Subject to applicable law, any dispute, claim, or proceeding arising out of or relating to the Platform or these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan, India, unless otherwise required by applicable law.

37. Changes to These Terms

Morwingo reserves the right to amend, revise, replace, or update these Terms at any time.

Updated versions become effective upon publication on the Platform unless otherwise stated.

Your continued use of the Platform after such updates constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

Users are encouraged to review these Terms periodically.

38. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Morwingo regarding your use of the Platform and supersede all prior understandings, communications, or agreements relating to the same subject matter.

If you do not agree with any part of these Terms, you must immediately discontinue your use of the Platform.

Your continued use of Morwingo constitutes your ongoing acceptance of these Terms, as amended from time to time in accordance with applicable law.
